Bright Path Creative – Terms & Conditions
Effective January 2025
These Terms and Conditions apply to all services provided by Bright Path Creative (also trading as Bright Path Solutions), based in Brighton, Melbourne VIC. By engaging our services, you agree to the following terms.
1. Introduction
These Terms govern the agreement between Bright Path Creative (“we”, “us”) and the client (“you”) for services including, but not limited to, website design and development, branding, IT support, and strategic marketing. By accepting our quote or paying any portion of the invoice, you accept these terms.
2. Scope of Work
The scope of work is detailed in your project quote or proposal. Any changes or additions to the scope will require a separate agreement and may incur additional charges.
3. Payment Terms
Projects under $1,000: 100% upfront, or 50% upfront and 50% before final delivery
Projects $1,000–$5,000: 50% upfront, 50% before delivery
Projects over $5,000: 25% upfront, with three further payments of 25% at agreed milestones
Projects over $20,000 may be eligible for custom payment plans
All invoices are due within 7 days, or as per the agreed terms outlined in the scope of work, quote, or proposal. Late payments will incur an admin fee of $75 per week. Work may be paused if payments are not received on time.
4. Client Responsibilities
You are responsible for providing content, approvals, logins, and timely feedback to support the agreed timeline. All official communication must be conducted via email.
5. Project Timelines
Estimated timelines are provided at project commencement and rely on your responsiveness. If content or feedback is delayed more than 14 business days, the project may be paused and a $150 reactivation fee applied.
6. Revisions & Scope Changes
Each project includes 2–3 rounds of reasonable revisions. Requests beyond that, or any changes to the original scope, will be quoted separately or billed at $110/hour.
7. Refinement, Edits & Support
Each project includes a Refinement Session and a Final Edit Session. You will receive 30 days of basic post-launch support. Additional support outside the agreed scope will be billed at $75/hour or quoted as needed.
8. Cancellation & Refunds
No refunds are offered after the project has commenced or an invoice has been issued
Deposits are non-refundable under all circumstances
If we are unable to complete the project due to illness or staff shortages, a partial refund may be offered at our discretion
If you terminate the project, all payments made up to that point are non-refundable
9. Confidentiality
Both parties agree to keep all sensitive or proprietary information confidential throughout and after the project.
10. Ownership & Intellectual Property
Ownership of final deliverables transfers to you upon full payment. Bright Path Creative reserves the right to showcase completed work in portfolios and marketing. Any custom code or internal tools remain the intellectual property of Bright Path Creative unless agreed otherwise in writing.
11. File Delivery & Storage
Final files are delivered via Google Drive and available for 3 months after project completion. After that time, files may be permanently deleted. It is your responsibility to download and back up your files.
12. Hosting & IT Support
Bright Path Creative does not offer hosting directly. However, we have a list of preferred, Australian-operated providers for hosting, domain registration, cPanel, and email services. We recommend these to our clients for reliability and local support. These services are arranged directly between you and the provider, and we can assist with setup where needed.
If your existing hosting, domain, or email provider is a foreign-based organisation, Bright Path Creative takes no responsibility for any issues that may arise during transfer, including but not limited to: server connection issues, email delivery interruptions, data loss, or configuration conflicts during migration.
Bright Path Solutions offers IT support services under a separate agreement if required.
13. Rushed or Delayed Work
Any work required to be rushed, or delays due to content being submitted late, may incur additional fees or be rescheduled depending on our availability.
14. Timezone, Weekend & Holiday Boundaries
We do not expect or require communication outside of business hours. You are not expected to respond on weekends or public holidays, and we extend the same courtesy to you.
15. Limitation of Liability
Bright Path Creative is not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you for the project.
16. Dispute Resolution & Governing Law
These Terms are governed by the laws of Victoria, Australia. In the event of a dispute, we will attempt to resolve it through respectful discussion. If needed, matters may be referred to VCAT (Victorian Civil and Administrative Tribunal).
17. Acceptance
By accepting a quote, signing an agreement, or paying a deposit, you confirm that you have read, understood, and agreed to these Terms and Conditions.
