Terms of service.
1. Introduction
These Terms and Conditions govern the agreement between Bright Path Solutions ("we", "us", "our") and [Client's Name] ("you", "your") for the design and development of a Squarespace website. By accepting our quote, you agree to these terms.
2. Scope of Work
The project scope includes the tasks and deliverables outlined in the provided quote. Any additional work or changes to the scope will require a separate agreement and may incur additional costs.
3. Project Timeline
We will commence work on the project upon receipt of the initial deposit as specified in the payment terms. The estimated time to complete the project is typically 46 weeks, depending on project complexity and requirements. All reasonable efforts will be made to complete the project within the agreed time frame. However, we do not take responsibility for delays caused by the client or unforeseen circumstances.
4. Payment Terms
Deposit: A non-refundable deposit of 25% of the total project cost is required before work begins.
Milestone Payments: Payments are due upon completion of specified milestones as detailed in the project quote.
Final Payment: The remaining balance is due upon project completion and before the website goes live.
Late Payments: Late payments will incur a $35 fee for every 7 days not paid past the due date.
5. Client Responsibilities
You agree to provide all necessary content, feedback, and approvals in a timely manner to ensure the project progresses according to the agreed timeline. Delays in providing required materials or feedback may result in project timeline adjustments.
6. Revisions and Change Requests
The project includes unlimited rounds of revisions within what is reasonable. Additional revisions or changes outside the original scope will be billed at our hourly rate of $110/hour or as otherwise agreed.
7. Refinement and Final Edit Sessions
The project includes a Refinement Session and a Final Edit Session. You will receive ongoing support for an additional 30 days; however, additional fees may apply if the extra work falls outside the agreed scope. An additional quote and invoice will be provided for such work.
8. No Refunds
There are no refunds once the initial deposit is made. In the event that the scope of work changes and the new scope does not fall under our service offerings or the required timeframe, no refunds will be issued.
9. Cancellation and Termination
Our Termination Policy: We agree not to terminate the project unless due to special circumstances such as illness, sickness, or death. In such cases, we will make all efforts to have another business complete the project.
Client Termination Policy: If you wish to terminate the project, no refund will be issued for any payments made up to the termination date.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation remains in effect even after the project is completed.
11. Intellectual Property
Upon full payment, all intellectual property rights for the completed website design and development work will be transferred to you. We reserve the right to showcase the project in our portfolio and marketing materials.
12. Support
We offer basic support for 30 days after the project launch to address any issues or bugs. Major changes or additional support beyond this period will be billed at our hourly rate of $75/hour.
13. Training
Every project includes a minimum of 30 minutes of project training. Additional training can be arranged and may incur additional costs depending on requirements. Training can be provided via virtual meeting or screen recording and filed in your Bright Path Solutions Google Drive.
14. Rushed/Delayed/Past Deadline Changes
Any part of the project that needs to be rushed, delayed, or falls outside of the allotted project timeline will be billed at our hourly rate or quoted separately. Content that comes in after the start date may be subject to fees or a deadline push.
15. Timezones/Weekends/Holidays
No issues here! BPS will never expect you to work or answer emails on a weekend or holiday, and even if we reply to you on a working day in our timezone, you can answer the next business day in your timezone.
16. Limitation of Liability
We will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the project. Our total liability will not exceed the amount paid by you for the project.
17. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts of Australia.
18. Acceptance
By accepting our quote and providing the initial deposit, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
